The size of the insurance market in the United States makes it an ideal target for Sompo's overseas expansion, but the deal is still risky because of the type of Endurance insurance, said Nobuyasu Uemura, a consultant at Capitas Consulting.
"Corporate business is not easy, and Japanese companies do not have much experience in special insurance," said Mr. Uemura. "Insurance underwriting companies are very technical and complex. If not well written, they can cost their clients unexpected amounts of money.
The deal follows a string of deals involving Japanese insurers looking for growth overseas as their home market shrinks. Japan's claims of overseas insurance companies soared in 2015, reaching $24.3 billion - the highest level in at least a decade, according to data from Dealogic.
In a struggle to diversify, Tokio Marine agreed to buy HCC Insurance for $7.5 billion after several acquisitions in the United States. Sompo's deal for Endurance is the Japanese insurer's largest outbound deal since then. Meiji Yasuda Life Insurance Company bought StanCorp Financial Group for $5 billion, and Sumitomo Life struck a $3.8 billion deal to buy Symetra Financial Group, another American insurer.
